Unable to remount root fs

We have a server that after getting rebooted never came back up

now it just hangs on the message:

"Remounting root filesystem in read-write mode."

it is able to mount it at first try but not the second
I cheked the fstab and it's correct

this is an Intel N440BX MB w/P3 chip using Symbios NCR58Cxxx controller

has anyone ever had this problem?
