They should.  I have the same machine and card, and it worked for me
(Debian 1.2).  The card should be treated as a 2940.

I think you only needed the special boot disks for this card in Debian
1.1.

Could.  Some of the 100Mbit cards require drivers that aren't even in
the kernel yet.  Check the Ethernet-HOWTO.
