Having just done this today, I'll point out that when you install the kernel-headers, it creates several directories under /usr/src, like:
kernel-header-2.4.20-386
 and
kernel-header-2.4.20-586
and etc. You'll need to point the vmware-config.pl script to the correct directory, but you'll have to dive one level deeper, into "include" I believe, when the script asks for the path.
