2.4.0 has known problems with 3com PCI ethernet cards. I think there are
patches available, but I don't know where.
The 3c59x driver in 2.4.0-test11 works great through - maybe you could
drop that in and see what you get.
Beyond that your options are:
* stick with 2.2.x
* wait for 2.4.1
