Yes, this works for me to. Probably means it is a bug in seminar.sty.
The documentation doesn't mention any requirement of grouping, but
says instead that \overlay "can be used just about anywhere".  It
can't be used almost anywhere (eg in tables) when grouping is required
though.

I was told on debian-user that the upstream author of seminar.sty is
working on updating it. See
/usr/share/doc/tetex-nonfree/copyright.seminar.gz, it is now DFSG
free, too.
