The problem with your card is that there is a fullmac version and a softmac version out there. The kernel prism54 driver works with fullmac only and your dmesg indicates a softmac version. You have to use the driver for the softmac version from here:

(look at the bottom of the page). I use a softmac version of this card with debian and have no problems at all.

try adding pci=noacpi to your kernel command line.
if you are using grub, edit /boot/grub/menu.lst at the line starting
with '# kopt='. run 'sudo update-grub' afterwards to propagate it to the
actual kernel parameters.
