eb@socrates ~$ cat /etc/mtab | grep proc
proc /proc proc rw 0 0
usbdevfs /proc/bus/usb usbdevfs rw 0 0
proc /archive/chroot/woody/proc proc rw 0 0
eb@socrates ~$ ls -l /etc/mtab
-rw-r--r--    1 root     root          624 Nov  5 00:44 /etc/mtab

i mount the chrooted proc from the real system not the chroot since
the chroot gets no rc scripts run.
