Would that be the mga_drv.o that came with X 4.2.1 or the one that came in the 
matrox tarball ? I think you need the matrox version to use mga_hal_drv.o. Did 
you copy back the matrox mga_drv.o after you upgraded X ?

If you wish to avoid this problem next time you upgrade X, I suggest you 
ignore the matrox install instructions. Instead put the matrox drivers in a 
seperate directory under /usr/local/ so that they are not touched by package 
upgrades and set a ModulePath in the files section of XF86Config-4.

man XF86Config-4 has all the gory details.
