format usb drive

When I do >sudo fdisk -l

This is what I get for the USB drive.

Disk /dev/sda: 62 MB, 62914560 bytes
2 heads, 63 sectors/track, 975 cylinders
Units = cylinders of 126 * 512 = 64512 bytes

   Device Boot Start End Blocks Id System
/dev/sda1   *           1         976       61424    6  FAT16
Partition 1 has different physical/logical beginnings (non-Linux?):
     phys=(0, 1, 1) logical=(0, 0, 33)
Partition 1 has different physical/logical endings:
     phys=(1023, 1, 63) logical=(975, 0, 30)

I tried to format the whole thing with FAT32 by doing:
sudo mkdosfs -F 32 /dev/sda1

Can someone please tell me what command to use to elmininate any
partitions on the usb drive and format it for moving files between
Windows XP and Linux?

Thank you,

RD
