Have a look at tovid: http://tovid.dk3.com/  (That's the forum, it has
no mailing list, yet).  Do a search for tovid on sourceforge to
download the bash scripts that made up tovid.

It's GPL'd.

I've been using it to convert a couple of divx movies to VCDs, it
works quite well.  Sample usage:

tovid -ntsc -vcd -wide file.divx outfile

On my box (P4 2.7GHz, 512MB RAM) it takes about 1 hour or so to
convert a 700MB divx to VCD.
