custom kernel chokes after compile/reboot -- poweredge fun

problem: server reboots after kernel is uncompressed.
no error as the kernel never loaded and puked before run-time.
hardware: dell poweredge 2450.
bf24.bin loads fine for the 2.4.18.
all hardware in dmesg compiled into custom kernel 2.6.3.
i've done this many times but this problem i've yet to have and dont know
what to do so i'm asking you guys/girls for help.
hardware sum: dell 2450 smp 2 p3 600s, serverworks osb4, percraid adaptec
aic7899 u160, eepro100.
dont care about ieee1394, usb, or modules.
could this be vid resolution or memory settings?
