Are your partitions ext3 perchance? I had a similar problem, and my new kernel wasn't ext3 aware and so couldn't read the files off the ext3 partitions. I booted off an old kernel, changed /etc/fstab to ext2 entries and then was able to boot off my new kernel, at which time I fixed the problem and then returned to ext3 format.
