If its the driver from nvidia.com i suggest you read the README file.
It states you must have kernel headers or kernel source in
/usr/src/linux. They must be the same as kernel. 
It a very good document and easy to follow.

I forgot to reply to list.
Remember this. When you install the kernel header or source, then delete
the untared directory with the drivers.Start with newly untared one/
uncofigured one. It probably wont install properly otherwise.
