I've upgraded about 10 servers from potato to woody and had no serious
problems. Upgrading libc6 and apt-utils is a very good idea. If you are
going to do any sort of 'pinning' on the machine, I'd recommend putting
a newer apt on the box and making your /etc/apt/preferences file. Other
than that, upgrade away -- it sounds like you have it under control.
