I assume you could boot prior to this upgrade.  Are you able to
get it to boot to your previous kernel?  If so, check
/etc/lilo.conf and make sure the following are correct for you
system:

boot=/dev/hda?
root=/dev/hda?
install=/boot/boot.b
map=/boot/map
image=/vmlinuz
        label=Linux
        read-only

image=/vmlinuz.old
        label=LinuxOLD
        read-only
        optional

There are a few other entries, but these are the ones I think may
cause your issue if not set correctly.

Finally, run lilo as root and make sure it see's your kernel
images.
