It can certainly be done (I have done it myself), but it is a risky
process.  Be sure to carefully read the upgrade notes.  

Pay particular attention to what it says about telnet and telnetd.  If
you do not install the telnetd package, you will be unable to make a
telnet connection to the remote box!  (Fortunately your existing
connection will not be affected, but once you disconnect, you will be
out of luck if you have not installed telnetd).

In addition to that, I found that I had to uncomment the ftp line in
/etc/inetd.conf after upgrading.

That depends on how many packages are installed.  It can take many hours
with a modem connection.

It's not necessary to use a CD for either an upgrade or a new
installation.  For those without flat-rate telephone service or a fast
internet connection it is probably a good choice, however.
