You will need to configure IP Masquerading and recompile your kernel.  Read 
the IP-Masquerade mini-HOWTO for details.  You should configure your 
Win 95 machine to use the Linux machine as its gateway.

It works great once you have it set up.  No proxy is necessary, but you
will need to install some modules for ftp, real audio, irc, quake, etc.
