To make a simple CD that will work with apt:

 * Create a directory tree containing your packages, starting at /pool

 * Create packages files (using apt-ftparchive or dpkg-scanpackages
   and dpkg-scansources)

 * Create a directory /.disk and a file /.disk/info containing a label
   to describe your CD

That's it.
