	Ultimately i got the solution

  I m posting here so that it may be useful to some one...


  shell>mkisofs -r -J -o image.iso -graft-points \
    'path/to/files/'='path/to/files' 'path/to/other/'='path/to/other'

   The trailing slash on /path/to/files/ is important ....
