/opt = vendor supplied optional software
/usr/local = site-local software

Vendors may make assumptions about /opt/[<vendor>/]<package>, but
they are not allowed to make assumptions about site-local directories
and policies. See the discussion about creating empty directories in
/usr/local a few years back. (/usr/local may not even be writable for
your system, eg because it is an AFS volume)
