The "device or resource busy" often indicates an IRQ problem. You will need to sort that out... isapnp perhaps? I'm not familiar with the card.
If you do figure it out, please post what you did. I am getting "IRQ 0" assigned to a 3com 3c905c-tx - see my post earlier today subject "3c905-tx installs with IRQ = 0".
