You have to compile the kernel with SHARED_IRQ support. I remember you
said it was a modem/ethernet card. Then fetch the latest pcmcia-cs
package, compile and isntall (ftp://sourceforge.org/pcmcia/). 
It should work. 

To add SHARED_IRQ support go to:
Kernel Menu -> Character devices -> Extended dumb serial driver
options -> Support for sharing serial interrupts

When Linux boots you should see:

Serial driver version 4.27 with SHARE_IRQ enabled
----

I have a Xircom RBEM56G-100 PCMCIA card and works almost perfectly.
