Read the packaging manual again.
"It is an error for a package to contains files which are on the system
in another package, unless Replaces is used ..." (point 4 of section 6.3
"Details of unpack phase of installation or upgrade")

Make the packages conflict with earlier versions of the other package.
(Replaces is not a good idea here.)
