do you get something similar to this at the beginning of the boot
process?:

If so, your problem may be related to the problem I had with "initrd
extends beyond end of memory". In my case the location of my two memory
sticks (on an Ultra-5) was the source of the problem. Moving them from
DIMM3/4 to DIMM1/2 made to issue with initrd (and thereby the kernel
panic) go away. See this thread for details:
