You do not need updated grub, as long as /boot is on a different partition
with Ext3 or something like that. rootfstype=ext4 is mandatory. I have
Lenny grub + 2.6.32 selfbuilt kernel running with / on Ext4 on my
workstation at work.

As I wrote my home server does not have a separate /boot partition, so I had to upgrade grub. It worked well, once the boot sectors were correctly installed.
