HELP: proc mounts itself on /dev????



hello,

i have a machine that is in a strange state since i conjunctily upgraded to a
2.3.99-3 kernel and a second ethernet card....

/dev is destroyed on every reboot, and what may be found inside seem to be
parts of /proc, /proc beeing empty..... thus the kernel stops booting remaining
in single mode and offering maintenance login....

originally there was a debian woody distribution on this machine....
anything known of such a thing? any solution for this? 
looking at the fstab of the machine /proc should be mounted on /proc... on the
other hand the destruction has to be made on shutdown, since the booting stops
when the disks are still read only....
