Without knowing more on your system configuration, no one can guess
based on the fact.  But, let me guess anyway:

Q. Are you using Debian kernel-image
 if so:
  Q: Did you setup lilo.conf supporting initrd image for 2.4 kernel?
 else:
  Q:  Did you compile with the right combinations of config

Q. Did you use right environment (are you already on woody system) or A.
Bank packages)?

If you fail in these test, you are out of lack.
