By the way, the concerns with point 3 were raised upstream

got no reply so far. Let's hope for a change there...
Out of curiosity, could someone please elaborate (or point me to some
page) on why the venue clause is a problem? Does "exclusive primary
jurisdiction" just mean that it's the first place where disputes will
be handled or does it affect the possibility of appeal?
